Terms of Service

These Terms of Service ("Terms") govern your use of mississippiregisteredagent.co (the "Site") and the registered agent services ("Services") offered by Mississippi Registered Agent.co ("we," "us," or "our"). By using our Site or enrolling in Services, you agree to these Terms.

1. What We Provide

Mississippi Registered Agent.co delivers registered agent services for business entities filed with the Mississippi Secretary of State:

• A physical Mississippi street address as your registered office
• Acceptance of service of process and official documents during business hours
• Same-day scanning and electronic forwarding of received documents
• Secure online document portal access
• Compliance reminders for annual report deadlines

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of the business entity being enrolled. All information provided during enrollment must be accurate and current.

3. Pricing and Term

Service is priced at $99 per year. Your term begins on the enrollment date and renews annually unless cancelled. We may adjust pricing with at least 30 days notice before your renewal date.

4. Payment

Payment is collected at enrollment and upon each annual renewal. We accept credit cards and other payment methods displayed during checkout. If renewal payment fails, we notify you and may suspend Services after 15 days of non-payment.

5. Your Responsibilities

You agree to:

• Provide truthful, current information about your business entity
• Notify us promptly of changes to your entity name, address, or contact details
• File required documents with the Mississippi Secretary of State (annual reports, agent changes, amendments)
• Act on forwarded documents in a timely manner
• Use our Services only for lawful purposes

6. Document Handling

We accept documents at your registered address during regular business hours. Documents are scanned and forwarded electronically the same business day. We do not interpret, act upon, or advise regarding document contents. Physical documents are retained temporarily before secure destruction.

7. No Legal Advice

Mississippi Registered Agent.co is not a law firm. We do not provide legal, tax, or business formation advice. Our Services are limited to registered agent functions. Consult a licensed attorney for legal guidance.

8. Limitation of Liability

To the fullest extent allowed by Mississippi law:

• Total liability for any claim is capped at fees paid in the 12 months preceding the claim
• We are not liable for indirect, consequential, incidental, special, or punitive damages
• We are not liable for delays or failures caused by events beyond our reasonable control
• We are not responsible for outcomes resulting from your failure to act on forwarded documents

9. Indemnification

You agree to indemnify and hold harmless Mississippi Registered Agent.co, its owners, employees, and agents from claims, damages, or expenses (including reasonable attorney fees) arising from your use of Services, breach of these Terms, or your business operations.

10. Cancellation

Cancel anytime by emailing support@mississippiregisteredagent.co. Cancellation is effective at the end of your current annual term. No partial refunds are issued except at our discretion. You must designate a replacement registered agent with the Secretary of State upon or before cancellation.

11. Termination by Us

We may terminate Services if you violate these Terms, use Services unlawfully, or fail to pay after notice. We will provide reasonable notice and cooperate in transitioning your agent designation.

12. Governing Law

These Terms are governed by Mississippi law. Disputes arising from these Terms or Services shall be resolved in courts located in the State of Mississippi.

13. Modifications

We may update these Terms periodically. Changes are posted here with a revised effective date. Continued use after posting constitutes acceptance.

14. Severability

If any provision is held unenforceable, the remaining Terms remain in full effect.

15. Entire Agreement

These Terms and our Privacy Policy constitute the complete agreement between you and Mississippi Registered Agent.co regarding the Services.
