Doing Business in Mississippi From Out of State? You Need a Local Agent.

Your company was formed in Delaware, Texas, Wyoming, or somewhere else, but you have operations in Mississippi. The Secretary of State calls you a "foreign" entity, and before you can legally do business here, you need to register and appoint a Mississippi registered agent. For an LLC, registering means filing an Application for Registration of Foreign Limited Liability Company, and the state fee is $250.

When Foreign Qualification Kicks In

Under section 79-29-1003 of the Mississippi Code, a foreign LLC has to register with the Secretary of State ahead of transacting any business in Mississippi, yet the code gives no definition of transacting business. Section 79-29-1015 offers a non-exhaustive list of activities that, standing alone, are not transacting business:

• Suing, defending a suit, or settling any proceeding
• Meetings of members or managers, and anything else about the LLC's internal affairs
• Keeping bank accounts
• Offices or agencies that transfer, exchange or register the company's own securities or interests, or trustees and depositories for them
• Selling through independent contractors
• Soliciting or taking orders, by mail, employees, agents or otherwise, that only become contracts once accepted outside Mississippi
• Borrowing money, or putting a mortgage or security interest on real or personal property
• Debt collection, foreclosing on mortgages or liens that secure a debt, and keeping property obtained through that
• Simply owning property, real or personal, without more
• A single deal finished inside 30 days, as long as similar Mississippi deals aren't a regular habit
• Interstate commerce

Holding shares, a limited partnership stake, or a member or manager role in some other company that operates here doesn't count either. Two cautions from that same section: the list says nothing about whether Mississippi can serve, tax or regulate you under its other laws, and an LLC acting as general partner of a partnership that operates here is itself treated as transacting business in Mississippi.

The Secretary of State's business startup guide adds a practical rule. If any of your employees will be in Mississippi for a total of 30 days in a year, registration is required, and some businesses, such as contractors or companies working with state agencies, may have to register no matter how little time their people spend here. The Word "Foreign": Quick Clarification

It isn't limited to other states. Mississippi's LLC Act labels an entity foreign if its home law is anything but Mississippi law, whether another state's or another country's. A Nevada LLC with Mississippi customers is "foreign" in Mississippi's eyes, an LLC organized in Mexico is too, and a Florida corporation with a Jackson office is a foreign corporation.

Registration Steps

1. Order a Certificate of Good Standing from your LLC's home state (some states issue it as a certificate of existence). Mississippi's startup guide wants one dated within the last six months, and it gets attached to the online application, so order it shortly before you file.

2. Appoint a Mississippi registered agent. The agent needs an actual street address inside Mississippi. The Secretary of State accepts any individual, corporation or LLC that has a physical Mississippi address, and the law imposes no residency, age or office-hours test. A commercial registered agent is listed with the state; any other agent has to give you permission before you name it, because the state doesn't notify noncommercial agents. We satisfy this requirement.

3. File an Application for Registration of Foreign Limited Liability Company with the Mississippi Secretary of State through the online business filing system at sos.ms.gov (the fee schedule lists it as filing F0200). The application covers:

• Your LLC's name, plus a different name to use in Mississippi if yours is unavailable
• Your home state or country, the formation date, and a statement that the LLC validly exists there
• Your registered agent
• Either the office your home state makes you keep or, if none is required, your principal office address
• The date your LLC first did, or will do, business in Mississippi
• A signature from a member, manager or officer, with that person's capacity and address

Attach the certificate from step 1 and pay the $250 state fee by card, e-check or ACH. If you have already been operating here, the statute tacks on $10 for every day you did business unregistered, capped at $1,000 for each year. Some online filings are approved on the spot; those that need staff review should come back within 24 hours.

Your name has to carry the phrase "limited liability company" (shortened to "L.L.C." or "LLC" if you prefer), and it has to be a name a Mississippi LLC could also register, which means distinguishable from names already on file and free of words such as bank, insurance, trust or corporation.

4. Maintain compliance going forward. Once registered, you must:

• File an annual report online every year between January 1 and April 15; a foreign LLC pays $250 for it, while a Mississippi LLC pays nothing
• Keep your registered agent current; going 60 days without an agent, or filing the report more than 60 days late, lets the Secretary of State begin revoking your registration, and you then have 60 days after notice to cure it ($100 to reinstate once revoked)
• Meet Mississippi tax obligations; most entity types register with the Department of Revenue, and a delinquency it reports to the Secretary of State is one more ground for revocation

Pulling out of Mississippi later? File a Certificate of Cancellation, which the Secretary of State's fee schedule lists at $25.

What Happens Without Proper Registration

Operating in Mississippi without foreign qualification exposes you to:

• Locked courthouse doors as a plaintiff: you can't maintain a lawsuit in a Mississippi court until you register, though you can still defend one
• A daily late charge: $10 for each day of unregistered business, up to $1,000 per year, due on top of the $250 when you do register
• A lawsuit by the attorney general to bar you from operating in the state
• The Secretary of State standing in to receive lawsuits filed against you over your Mississippi business

Your contracts stay valid, and members don't pick up personal liability simply because the LLC skipped registration.
